2. Quotes and pricing
All prices displayed on our website are in New Zealand Dollars (NZD) and are inclusive of GST unless otherwise stated. Quotes are valid for 30 days from the date of issue unless otherwise specified. We reserve the right to adjust pricing for projects where the scope changes materially from the original agreement.
3. Payment terms
- Project work: We typically require a 50% deposit before commencing work, with the remaining balance due upon completion and before launch, unless otherwise agreed.
- Ongoing services: Monthly hosting and maintenance fees are billed monthly in advance and are due within 14 days of invoice.
- Late payments: We reserve the right to suspend services if payment is more than 14 days overdue.
4. Intellectual property
Your content
You retain ownership of all content, images, logos, and materials you provide to us. By providing these materials, you grant us a licence to use them solely for the purpose of delivering our services to you.
Our work
Upon full payment, you own the custom website or application we build for you, including all custom code, design assets, and content we create specifically for your project. This does not include:
- Third-party software and libraries used in your project (e.g., open-source frameworks), which remain subject to their own licences.
- Our proprietary tools and components that we may use across multiple client projects. You receive a perpetual licence to use these as part of your project, but ownership remains with Argent Digital Limited.
5. Your responsibilities
When engaging our services, you agree to:
- Provide accurate and complete information as needed for your project.
- Provide timely feedback and approvals to keep the project on schedule.
- Ensure you have the right to use any content, images, or materials you provide to us.
- Pay invoices within the agreed timeframes.

9. Hosting and uptime
For clients on our ongoing hosting plan, we will use reasonable efforts to maintain website availability. However, we do not guarantee 100% uptime. We are not liable for downtime caused by factors outside our control, including third-party hosting provider outages, internet disruptions, or force majeure events.
10. Termination
By you
You may cancel ongoing services (hosting and maintenance) at any time by giving us 30 days written notice. No refund is given for the current billing period.
By us
We may terminate or suspend services if you breach these Terms, fail to pay invoices, or if continuing the relationship becomes impracticable. We will provide reasonable notice where possible.
After termination
Upon termination of ongoing services, we will provide you with a copy of your website files and assist with a reasonable transition, provided all outstanding invoices are paid. We do not hold your website hostage.
11. Dispute resolution
If a dispute arises, we will first attempt to resolve it through good-faith negotiation. If we cannot reach a resolution, the dispute will be submitted to mediation in New Zealand. These Terms are governed by the laws of New Zealand, and the courts of New Zealand have exclusive jurisdiction.

We may update these Terms from time to time. Changes will be posted on this page with an updated "Last updated" date. Continued use of our website or services after changes are posted constitutes your acceptance of the revised Terms.
